User Agreement

Effective Date: October 11, 2024

This User Agreement ("Agreement") governs your access and use of the Fliiks website, mobile applications, and services (collectively referred to as the “Platform”). By accessing or using the Platform, you agree to comply with and be bound by the terms of this Agreement. If you do not agree with any of these terms, you must not use the Platform.

1. Acceptance of Terms

By using the Platform, you agree to all terms in this Agreement and any additional policies that Fliiks may implement from time to time, including the Privacy Policy. Your use of the Platform constitutes your acceptance of all these terms, and you agree to be legally bound by them.

2. Eligibility

You must be at least 18 years old to create an account or use the Platform. If you are under the age of 18, your use must be supervised by a legal guardian.
By using the Platform, you represent and warrant that you have the legal right and capacity to enter into this Agreement and that all information you provide is accurate and complete.

3. Account Registration and Use

To access certain features, you may be required to create an account with Fliiks. You are responsible for maintaining the confidentiality of your account credentials.
You agree not to impersonate another individual, provide false information, or create multiple accounts for fraudulent purposes.
You are responsible for any and all activities that occur under your account.

4. Use of the Platform

License: Subject to the terms of this Agreement, Fliiks grants you a limited, non-exclusive, non-transferable, and revocable license to use the Platform for its intended purposes.
Restrictions: You agree not to:
- Use the Platform for any illegal or unauthorized purpose.
- Attempt to modify, adapt, hack, or reverse-engineer the Platform or create derivative works based on the Platform.
- Interfere with or disrupt the Platform’s functionality or servers.
- Upload, share, or distribute any content that is illegal, defamatory, infringing, or otherwise harmful.

5. Content Ownership and License

User Content: By uploading or creating content (photos, videos, etc.) on the Platform, you grant Fliiks an irrevocable, perpetual, worldwide, royalty-free, and transferable license to use, distribute, modify, reproduce, and display such content for any purpose, including commercial uses.
Ownership: You retain ownership of the content you post, but by posting content on Fliiks, you grant Fliiks full rights to modify and use the content as described above without notice or compensation to you.
Company Ownership: All software, technology, trademarks, logos, and other intellectual property on the Platform are owned by Fliiks or its licensors. You are not granted any rights to such intellectual property, except as explicitly provided in this Agreement.

6. Paid Services and Payments

Fliiks may offer services for purchase or subscription. By using any paid service, you agree to the price and terms specified at the time of purchase.
Payment Information: You agree to provide accurate and complete payment information. All fees are non-refundable unless otherwise specified.
Fliiks reserves the right to modify pricing at any time. Continued use of paid services after pricing changes constitutes your agreement to the new price.

7. Termination and Suspension

Fliiks’ Rights: Fliiks reserves the right to terminate or suspend your account at any time for any reason, including violations of this Agreement or other misuse of the Platform.
User Rights: You may cancel your account at any time by contacting customer service. Upon cancellation, you will no longer have access to your account or any content associated with it.
Effects of Termination: Upon termination, all licenses and rights granted to you under this Agreement will cease. Fliiks may retain content or data as necessary to comply with legal obligations or for legitimate business purposes.

8. User Conduct

You agree to use the Platform in a lawful manner and comply with all local, national, and international laws and regulations.
You are solely responsible for all content that you upload, post, or otherwise transmit through the Platform.
Fliiks reserves the right to review, remove, or restrict access to any content or account that violates these terms or poses any risk to the security or integrity of the Platform.

9. Privacy and Data Use

Fliiks collects, stores, and processes user data as outlined in our Privacy Policy. By using the Platform, you consent to our collection and use of your data in accordance with the Privacy Policy.
You acknowledge that Fliiks has full control over user data and content submitted to the Platform and may use it for commercial purposes, including but not limited to marketing, advertising, or sale to third parties.

10. Intellectual Property Violations

Fliiks respects intellectual property rights and expects users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify us immediately.
Users who repeatedly infringe on the intellectual property rights of others will have their accounts terminated.

11. Disclaimers

No Warranties: The Platform is provided on an “as is” and “as available” basis. Fliiks makes no warranties or representations regarding the accuracy, reliability, or completeness of the Platform or the services provided.
Limitation of Liability: To the fullest extent permitted by law, Fliiks shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.
No Guarantee: Fliiks does not guarantee uninterrupted or error-free operation of the Platform and is not responsible for any downtime or service interruptions.

12. Indemnification

You agree to indemnify, defend, and hold harmless Fliiks, its affiliates, officers, employees, and agents from any and all claims, liabilities, damages, and expenses, including legal fees, arising out of your use of the Platform or your violation of this Agreement.

13. Changes to the Agreement

Fliiks reserves the right to modify or update this Agreement at any time. You will be notified of any significant changes, and continued use of the Platform after changes are made constitutes your acceptance of the new terms.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state where Fliiks operates, without regard to its conflict of law provisions.
Dispute Resolution: Any disputes arising from this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive the right to participate in any class action.

15. Entire Agreement

This Agreement, along with the Privacy Policy and any other documents referenced herein, constitutes the entire agreement between you and Fliiks and supersedes any prior agreements, whether oral or written.
